CFIUS Issues Filing Fee Rules Effective May 1

The Committee on Foreign Investment in the United States (CFIUS) has released interim regulations that require the payment of new CFIUS filing fees authorized by the Foreign Investment Risk Review Modernization Act of 2018 (FIRRMA). The new fees will apply to formal CFIUS notices filed on or after May 1, 2020.

For the most part, the interim regulations are consistent with the draft rules published in early March 2020, which we outlined in our March 9 note. Key changes, described in our full alert, include clarification of the method for valuing multi-stage and contingent equity transactions and the inclusion of additional illustrative examples. Because these are interim rules, CFIUS has invited additional public comment through June 1, 2020.
