The Accounting and Corporate Regulatory Authority recently concluded its consultation on proposed changes to the Singapore Companies Act. Significant proposals include dematerialisation of physical share certificates, digital meetings, decriminalisation of offences for directors, clarification of the rules on share capital, extension of the financial assistance exceptions and updating of the Model Constitution.
In this webinar we discussed the key practical implications of these changes to corporate practice as well as areas where further reform would be welcome.
